Summary: By utilizing our software tools, you agree that clinical diagnosis, treatment decisions, and prescription verification remain 100% the responsibility of licensed healthcare providers.

1. Introduction & Agreement

Welcome to Audaya. These Terms of Service (“Terms”) govern your access to and use of the Audaya Clinic OS application, websites, and associated services (the “Service”).

By registering a clinic account, subscribing to a software package, or accessing the Service, you and the legal entity you represent (“Clinic,” “Customer,” or “You”) agree to be bound by these Terms. If you do not agree to these terms, do not access or use the Service.

2. Service Scope

Audaya is a software-as-a-service (SaaS) provider of clinic operational tools. The platform includes a doctor cockpit, transcription assistants, patient flow trackers, medication listing interfaces, and basic scheduling features.

The Service is provided to assist healthcare organizations in managing administrative workloads. We do not provide medical services, clinical consultation, or direct patient healthcare services. The Service is a software platform tool for healthcare providers.

3. Acceptable Use

You agree to use the platform in strict accordance with the following terms:

  • Licensure: Clinic users of medical features must be properly licensed healthcare professionals or authorized administrative staff operating under their supervision.
  • No Misuse: You will not attempt to bypass access controls, introduce malware, reverse engineer the platform, or execute automated bots.
  • Compliance: You will use the platform in compliance with all applicable local, regional, and national laws regarding patient privacy and digital communication.

4. Clinic & Provider Responsibility

Critical Notice for Licensed Practitioners

No Medical Decisions: Audaya Clinic OS is an operational platform and documentation assistant. It does NOT make clinical diagnoses, generate treatment plans, write active prescriptions independently, or substitute for the clinical judgment of a licensed medical practitioner.

Sole Professional Duty: Licensed medical professionals using the platform are solely responsible for reviewing and verifying all generated text summaries, drug dosage entries, allergy conflicts, and transcription outputs. All clinical judgments, treatments, diagnoses, and medical decisions are the sole responsibility of the practitioner.

5. Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall the platform provider or its suppliers/licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or operational disruptions.

Because Audaya is a pilot-stage platform, the software is provided on an “AS IS” and “AS AVAILABLE” basis. Audaya's total cumulative liability for all claims arising out of or related to these Terms or the use of the Service shall be capped at the fees actually paid by the Clinic to Audaya during the three (3) months immediately preceding the event giving rise to liability.

6. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with applicable local regulations for your clinic's jurisdiction, without giving effect to any choice or conflict of law provision that would require applying the law of another jurisdiction.

During this pilot deployment, dispute resolution processes will be defined in the agreement between your clinic and the platform operator. No specific court venue or corporate headquarters is published on this site.
